TERMS OF SERVICE

Effective Date: October 12, 2025

ANY PERSON OR ENTITY (“User” or “You”) ACCESSING OR USING THE SITE AT buttrfx.com (“Site”), OR ANY OF THE CONTENT, SOFTWARE, OR SERVICES AVAILABLE THROUGH THE SITE (collectively, the “Services”), AGREES TO BE BOUND BY THIS END USER LICENCE AGREEMENT (“Agreement”).

By downloading, installing, or using BUTTR FX products, You agree to these Terms of Service. If You do not agree, You must not use the Services.

1. Contracting Parties

The Site and Services are owned and operated by BUTTR FX Inc. (“BUTTR FX,” “we,” “us,” or “our”), a company incorporated under the laws of Ontario, Canada. By using our Services, You are entering into a binding contract with BUTTR FX Inc.

2. Personal Data

You agree to provide true, accurate, and complete information to us. Any personal data You provide will be processed in accordance with our Privacy Policy, which forms part of this Agreement.

3. The Services

BUTTR FX provides digital music software and related services (“Products”), including:

• Software Files – audio plugins and related applications.
• Sound Files – pre-recorded sounds, loops, and samples.
• Documentation – instructional or reference materials.

Together, these are referred to as the “Products.”

4. Licence to Use

By purchasing a Product, You receive a non-exclusive, non-transferable, non-sublicensable licence to use the Product for personal and professional music production.

You may not:

• Sell, share, sublicense, or distribute the Products except as integrated into your original music.
• Use Products in or with competing products.
• Reverse-engineer, decompile, or otherwise attempt to derive source code.

5. Personal & Commercial Use

Products are licensed to You for your own use in music creation. You may use them commercially in original compositions, but You may not resell or redistribute the Products themselves.

6. Ownership

All rights, title, and interest in the Products remain with BUTTR FX INC. You are granted a licence to use the Products; You do not acquire ownership.

7. Copyright & Intellectual Property

All Products are protected by copyright and intellectual property laws. You may integrate Sound Files into your own original works, but only the original purchaser is licensed to use the Products.

8. Acceptable Use

When you purchase and use BUTTR FX Products, You agree to the following:

Permitted Uses

You may:

• Use BUTTR FX plugins, sounds, and presets in your own original music productions.
• Distribute, sell, or stream music that incorporates BUTTR FX sounds as part of an original composition.
• Use BUTTR FX sounds and plugins in commercial projects (albums, singles, advertisements, film, TV, video games, etc.) without paying additional royalties.
• Use BUTTR FX in both personal and professional studio environments, subject to the licence activations purchased.

Prohibited Uses

You may not:

• Resell, redistribute, or share BUTTR FX sounds, presets, or software in isolation or as part of competing products.
• Upload BUTTR FX sounds, presets, or plugins to file-sharing sites or libraries.
• Claim BUTTR FX sounds, presets, or plugins as your own intellectual property.
• Use BUTTR FX Products in a way that infringes on the intellectual property rights of others.
• Use BUTTR FX Products to develop, train, or enhance any artificial intelligence (AI), machine learning, or generative models, whether for music, audio, or other purposes, without our prior written consent.
• Use BUTTR FX to create, distribute, or market a competing audio plugin, sample library, or preset pack.

Clarifications

• You are free to monetize works you create using BUTTR FX.
• You cannot sell or give away BUTTR FX sounds, presets, or plugin components in their raw form, even if modified.
• Collaborators working on the same project must each hold a valid licence if they want to directly use the Products on their own systems.

9. Payments & Pricing

• Prices are listed on the Site and may change without notice.
• Payments are processed through authorized third-party providers.
• By placing an order, You confirm You are authorized to use the selected payment method and have sufficient funds.

10. Refund Policy

• Plugin Purchases: All plugin sales are final. Refunds are not available once a license has been issued or activated.
• Preset Packs & Add-Ons: All preset packs and add-ons are non-refundable once delivered.
• Legal Rights: Your statutory rights under Ontario law remain unaffected.

11. User Conduct

You agree not to:

• Violate any applicable laws.
• Use the Site for unauthorized commercial purposes.
• Interfere with or attempt to gain unauthorized access to our systems.
• Use bots, scrapers, or other automated tools to extract data.

12. Warranties & Disclaimers

The Products are provided “as is” without warranties of any kind, express or implied. We do not guarantee that Products will be error-free, fit for a particular purpose, or operate without interruption.

13. Limitation of Liability

To the maximum extent permitted by law, BUTTR FX’s liability is limited to the amount You paid for the Products. We are not responsible for indirect, incidental, or consequential losses.

14. Termination

We may suspend or terminate this Agreement if You breach its terms. Upon termination, your licence to use the Products immediately ends.

15. Indemnity

You agree to indemnify and hold harmless BUTTR FX from any claims, damages, or expenses resulting from your misuse of the Products or breach of this Agreement.

16. Export Control

You agree to comply with all applicable Canadian and international export control laws and regulations. You may not use, export, or re-export the Products to:

• Any country subject to Canadian or international embargoes, sanctions, or trade restrictions.
• Any person or entity on government-prohibited lists.

By using the Products, You confirm that You are not located in, under the control of, or a resident of any such restricted country or entity.

17. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

18. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, or internet outages.

19. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between You and BUTTR FX INC.
